The variable orifice is associated with a control valve which adjusts fluid path area of the variable orifice. The control valve is axially shiftable for adjusting the orifice area. A pressure chamber is formed opposing one axial end of the control valve, which pressure chamber is in fluid communication with one of the fluid chamber via the variable orifice. A bias means is active on the other axial end of the control valve, remote from the pressure chamber, for exerting a bias force in a direction opposite to the force exerted by working fluid in the pressure chamber.

The first stage disc valve is provided for acting on a relatively small pressure difference for enhanced damping characteristics at a relatively low piston stroke speed range. On the other hand, the second stage disc valve is provided for acting on a greater pressure difference for generating damping a force at a higher piston stroke speed range. The second stage disc valve is initially pre-loaded at a predetermined magnitude of load so as to set a pressure relief point of the second stage disc valve at a desired piston stroke speed for better damping characteristics of the shock absorber.

The oil grooves of the shutter and oil holes of the stepped rod constitute third orifices as variable orifices. Cut portions of inner disk valves constitute second orifices. The opening areas of the variable orifices are changed by rotating the shutter, thereby controlling damping force characteristics in a low piston speed region and the relief pressures of pressure control valves independently of each other, and thus increasing the degree of freedom for adjusting the damping force characteristics.
